This accession consists of the main body of governance records created and/or maintained by Ridley Terminals Inc. Records include: 1) meetings-related records of the Board of Directors, which may include agendas, minutes, decision records, records submitted to the Board, etc. Records also include: 2) meetings-related records of the sub-committees of the Board of Directors, such as the Audit Committee. Finally, records include: 3) other governance-related documents, such as certificates, bylaws, resolutions, letters, notices, annual reports and returns, plans, manuals, and registers.

Note that most of the circumstances and metadata around the files (file paths, titles, file formats, dates) reflect that the majority of these records were only held in paper form. In preparation for the privatization, over 2019, the RTI corporate secretary spent a number of months preparing the paper records for scanning, scanning them, and then creating file titles and arranging them in digital folders. So while the dates of creation reflect work done in 2019, the dates reported in the titles of each file reflect the actual date that the record was created. Board records were being created and managed digitally by RTI in more recent years, however, those born-digital records were reorganized and retitled together with the scanned records.

Custodial history:

Records were transferred to LAC from Rebecca Rock, an Associate at McMillan LLP (law firm), who had been engaged privately to provide Corporate Secretary services for Ridley Terminals Inc. As corporate secretary, Ms. Rock was the custodian of RTI's Board records.
